IMPORTANT NOTICE ABOUT THIS CONTEST

BY REGISTERING OR VOTING, IN THIS CONTEST, YOU ARE NOT REGISTERING OR VOTING FOR YOURSELF OR FOR ANY OTHER PERSON TO WIN A PRIZE OR ANY OTHER THING OF VALUE. YOU ARE VOTING FOR THE ELIGIBLE CITY, TOWN OR MUNICIPALITY THAT YOU WISH TO HAVE HOST A PARTY AND A ONE TIME SCRRENING OF THE NEW “CHIPS MOVIE”. YOUR REGISTRATION OR VOTE DOES NOT ENTER YOU INTO THIS OR ANY CONTEST; NOR DOES IT ENTER YOU TO WIN, OR IMPLY, PROMISE, OR GUARANTY THAT YOU WILL BE ABLE TO PARTICIPATE IN THE PARTY OR SCREENING. ONCE THE CITY, TOWN OR MUNICIPALITY IS SELECTED, THE SPONSOR WILL CONDUCT SEPARATE GIVE-AWAYS OR DETERMINE OTHER CRITERIA TO DISTRIBUTE AVAILABLE TICKETS TO ATTEND THE PARTY AND/OR SCREENING, AS DETERMINED BY SPONSOR IN ITS SOLE DISCRETION.

BY REGISTERING, VOTING OR OTHERWISE PARTICIPATING IN this Contest, you fullY and unconditionalLY agree to these Rules, which are final and binding in all matters related to the Contest.

NO PURCHASE OR PAYMENT IS NECESSARY TO REGISTER, VOTE OR TO HAVE YOUR CITY BE SELECTED AS THE LOCATION FOR THE PARTY AND SCREENING. MAKING A PURCHASE WILL NOT INCREASE A CITY’S CHANCES OF BEING SELECTED.. THIS CONTEST IS VOID WHERE PROHIBITED BY LAW.

ADMINISTRATOR AND SPONSOR

This Contest is sponsored and administered by Resignation Media, LLC (“Sponsor”). This Contest will be conducted under the supervision of Sponsor.

ELIGIBILITY FOR REGISTRATION AND VOTING

Only legal permanent U.S. residents, residing in the 50 United States of America or the District of Columbia, who are at least 18 years old as of the beginning of the Contest Period (an “Eligible Person”) may register or Vote in this Contest.

ELIGIBLE LOCATIONS

The Sponsor, in its sole discretion, will select an initial group of cities, towns or other municipalities that are eligible to receive votes in the Contest. Additionally, individuals may go online and register additional cities, towns or other municipalities as outlined in more detail below. (each eligible city, town or other municipality is a “College City” and collectively are the “College Cities”). No college or university is affiliated or associated with this Contest and does not endorse, sponsor or provide approval for this Contest. Only eligible College Cities in the 50 United States or District of Columbia are eligible to be registered for this Contest.

The College City with the most votes (as outlined below) will be the location selected to host a one-time party and screening of the new Warner Bros. movie, “CHIPS,” on or about March 24, 2017 (the “Party and Screening”) . The Party and Screening will be hosted at a location, determined by Sponsor, that is in or near the College City that is selected.

Sponsor, in its sole discretion, reserves the right to cancel this Contest and /or change or replace the time, location or any other details of the Party and Screening at any time in its sole discretion and for any reason.

CONTEST REGISTRATION AND VOTING

This Contest contains 2 rounds: (1) a registration round; and (2) a voting round.

The Registration Portion of the Contest

The registration round of the Contest will allow you to register an eligible College City to be eligible to potentially receive votes during the voting round.

The time to register a College City begins on March 9th, 2017 at 12:00AM CT and ends on March 9th, 2017 at 11:59 PM CT (the “Registration Period”).

To register a College City, during the Registration Period, visit the registration webpage at http://chips.chive.com/ and look through the list of eligible College Cities for the College City of your choice. If you see that your College City is not yet registered, click the “REGISTER” button to register your College City. If you see that your College City is already registered, then it is already eligible to receive votes during the voting round, and there is nothing else you need to do to register your College City. Sponsor reserves the right to deny registration to any College City for any reason, in its sole discretion. Sponsor reserves the right to remove a College City at any time.

The Registration Period is the sole period of time when you may register a College City. Only College Cities that have been registered and approved by Sponsor during the Registration Period will be eligible to receive votes later during the voting round.

The Voting Portion of the Contest

After the registration round, the voting round of this Contest will allow eligible voters to vote for the registered College City of your choice to win the Prize. Only registered and approved College Cities will be eligible to receive votes during the Voting Period.

Once the Contest Colleges have been registered, the time to vote for the College City of your choice begins at 12:00AM CT on March 10th, 2017 and ends at 11:59PM CT on March 12th, 2017 (the “Voting Period”).

To vote for the eligible College City of your choice, visit the voting webpage at http://chips.chive.com/, look through the list of registered College Cities for the College City of your Choice, follow any other on-screen instructions and provide any other required information on the page and click the “VOTE” button for that Contest College. That College City will receive your vote for this contest (your “Vote”).

You may only Vote once in this Contest.

Participants (including schools and cities) are prohibited from obtaining votes for their school or city by any fraudulent or inappropriate means, including, without limitation, collaborating with any party or person in any way to gain votes. Use of these techniques or otherwise impairing the integrity of the Contest, is prohibited and all such votes will, upon discovery by the Sponsor, in Sponsor’s sole discretion, be deemed null and void.

SELECTION OF A CONTEST COLLEGE

The College City receiving the most valid Votes will, subject to Sponsor’s approval, be selected to host the Party and Screening.

Only one (1) College City will be selected.

The Sponsor will announce the College City that is selected on March 13, 2017, on its website, www.thechive.com (the “Website”).

HOSTING OF THE SCREENING

For the College City to be eligible to be selected,, a suitable location must be available to host the Party and Screening at a time, cost and location satisfactory to Sponsor in its sole discretion Sponsor will determine the minimum and maximum number of attendees at the Party and Screening, how admittance to the Party and Screening is determined, any age or other restrictions for entry and any food, drink or other items provided at the Party and Screening, in its sole discretion. If there is no suitable location available the Party and Screening will not take place in the College City and Sponsor may, in its discretion choose an alternate College City.

CANCELLATION AND DISQUALIFICATION

Sponsor reserves the right to cancel, suspend and/or modify the Contest, or any part thereof, if any fraud, delay, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Contest or the Party and Screening , as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right, in its sole discretion, to award the Party and Screening based on eligible Votes received up to the time of the impairment. Votes generated by a script, macro, or use of automated devices will be disqualified. Sponsor reserves the right to modify, suspend or terminate the Contest in the event it becomes infected by a computer virus or is otherwise technically impaired, and to cancel or suspend the Contest in its entirety should tampering, unauthorized intervention, fraud, technical failures or other causes corrupt the administration, security, fairness, integrity, or proper functioning of the Contest and, if terminated, at Sponsor’s sole discretion, determine the winning College City using all non-suspect, eligible Votes received up to time of cancellation using the judging procedure outlined above. Sponsor reserves the right, at its sole discretion, to disqualify any individual and void his/her Vote if it finds that individual to be tampering with the Voting process or the operation of this Contest or intending to annoy, abuse, threaten or harass any other Voter, the Sponsor or Warner Bros. Entertainment Inc. (“WB”) (or any of their employees or representatives), to otherwise be acting in violation of these Rules or for any other reason. Failure to comply with these Rules may result in disqualification from the Contest and a disqualification of Votes. Sponsor reserves the right to disqualify any person it believes or has reason to believe violated these Rules.

ANY ATTEMPT BY ANY PERSON TO UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

RELEASE

To the fullest extent permitted by applicable law, all Voters and/or anyone who registers or attempts to register or vote in the Contest agree to release, indemnify, and hold harmless Sponsor, WB and their respective officers, directors, agents, representatives, and employees (collectively, “Released Parties”) from and against any claims, liabilities, judgments, damages, loss, actions or cause of action, and costs (including reasonable attorney fees) (collectively, “Claims”) arising out of or relating to the Contest, the Party and Screening , the registration and/or voting, participation in, or inability to register, Vote or participate therein, including without limitation, Claims arising from or relating to: (a) lost, late, misdirected, damaged, stolen, altered, garbled, fraudulent, incorrect, incomplete or delayed Votes, all of which will be void; ; (b) unauthorized third-party intervention into any part of the Contest; (c) problems related to errors or malfunctions of any equipment, computer online systems, servers, or providers, computer hardware or software failures; (d) any other technical or human errors or malfunctions of any kind; (e) the cancellation, suspension, or modification of the Contest; or (f) disqualification of any Vote, Winning College City, or the Party and Screening.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE RELEASED PARTIES WILL NOT BE LIABLE FOR ANY FOR ANY INDIRECT ORCONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOST DATA, LOST PROFITS, LOST REVENUE, LOST BUSINESS, ANTICIPATED PROFITS, COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, AND/OR ANY MONETARY AMOUNT IN EXCESS OF THE ESTIMATED RETAIL VALUE OF THE PRIZE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, AND WHETHER OR NOT THE RELEASED PARTIES WERE OR SHOULD HAVE BEEN AWARE OR ADVISED OF THE POSSIBILITY OF SUCH DAMAGE AND NOTWITHSTANDING THE FAILURE OF THE ESSENTIAL PURPOSE OF ANY LIMITED REMEDY STATED IN THESE RULES.

VOTER REPRESENATIONS AND WARRANTIES

Each Voter represents and warrants that, with respect to his/her Vote: (a) Voter is the sole and undivided author and owner of all right, title, and interest in and to the Vote; and (b) Voter has not assigned, transferred, or licensed the Vote to any third-party, or otherwise encumbered the Vote.

JURISDICTION

Voter consents to personal jurisdiction in the State of Texas. Any and all disputes arising from or relating to this Contest, these Rules (including their construction, validity, and enforceability), the Prize, and/or any rights and obligations hereunder, will be governed by the laws of the State of Texas, without giving effect to conflict of law principals. Each Voter agree that the appropriate State or Federal Court located in Travis County, Texas will have exclusive jurisdiction over any and all disputes, suits, issues, or claims relating to the Contest and these Rules.

NO THIRD PARTY ENDORSEMENT:

This Contest is not sponsored, endorsed or administered by any social media provider, Warner Bros. Entertainment Inc. or any third party, other than the Sponsor and its licensees or contracting parties. THIS CONTEST IS NOT SPONSORED, ENDORSED, OR IN ANY WAY ASSOCIATED WITH ANYCOLLEGE OR UNIVERSITY.
